Most of the posters that have an alternative, cautious view point, simply offer a different view to us positive types but all love this club and want nothing but the best.

However, we do have a few that are just miserable and even probably just love to wind people up.............. I have a mental image of these types in mind when I'm reading their posts.......................

It's things like this that fuel the negativity I have.

Apologies in advance if anyone happens to read this as ultra negative, it really isn't meant to be. I have an inquisitive mind and I would love to know why things are done this way.

Hitchens has a habit of using the address of his accountant when setting up his multitudes of companies, which is kinda ironic considering how many of those companies have been struck off companies house for not filing their accounts

Technically no they are not directors of Villa if they are directors of Recon.

Board members get elected to run the company in the best interest of the shareholders. Obviously with Xia owning 100% of the shares he gets to appoint the board in our case. The board make all of the decision on the company and technically a shareholder doesn't have to have any say whatsoever. Having said that though, with the shareholders appointing the board and the one that can also fire the board, you'll usually find that the board will listen to the shareholders when they speak and a lot of the time they will appoint board members that they know will toe the line.

So whilst technically Samuelson and Wyness are on the board of the company that owns Villa, if they are not on the Villa board of Villa then they don't control the direction and day to day decisions made by the Villa board, but obviously they can have a huge influence on that board by being on the board of the shareholding company.

In my opinion it all comes back to the shareholding of Recon, which I think is 100% Xia (?), if he owns 100% then he is the overall decision maker, he has the recon board that offers him advice,but as the only shareholder he will most likely be able to either take that advice or do his own thing. Whatever decision he makes in recon then passes down into Villa,where I would imagine he will also be on the board and follow the same principles as in Recon.

I guess in summary to your question, no they aren't on the Villa board by default, but yes they will still have an influence.

This is pretty much normal. It's super easy to set up a "company", you just need to register, and have £1 in share capital. (It used to cost about £20 to register, but that was 10 years ago or more...)

Anyway, I expect that the bloke who resigned, Hitchins, is an accountant who sets up companies for other people, so they don't have to bother with the paperwork etc. He sets them up, adds the new board and then resigns. Since the new board haven't done anything at all, the company "Recon Ltd" is worth £1, and doesn't have any assets / liabilities.

If the takeover is approved, I expect it gets pumped with money and then buys Aston Villa, or something like that.

That's the whole problem summed up. If the bloke st the top of any organisation isn't on top of the job, that filters down. We do work for lots of different companies and they all tend to reflect the main man regardless of size. A happy owner generally has happy workers, organised people have organised companies. It's just the way it is. Randy was clueless and inevitably this was eventually reflected throughout the club, most painfully on the pitch.

They could be 'off the shelf 'companies - you buy the company, then change the name, appoint directors, tweak the memorandum of association, it works out cheaper than registering it all yourself....
